Subject of the agreement

1.1

CPS+ eMarketplace Business Matching Service (hereinafter called "The Service") provides registered Users with private, free-of-charge service for finding business contacts. Users shall be responsible for their own use of The Service.

1.2

The User shall have the right to use the service and content offered within the scope of The Service. Any use exceeding this or in connection with the following purposes shall require the prior written permission of Adsale Exhibition Services Ltd. (hereinafter called "The Service Provider"):

•	conducting any direct marketing activities and/or disseminating or circulating any part of the content for any unsolicited publicity or advertising materials;
•	advertising and/or promoting any goods and services;
•	sale or exchange of any part of the information in The Service for any benefits, gain, profit or rewards; or
•	any other commercial purpose.

1.3

The User shall have agreed to provide such information as may be reasonably requested by The Service Provider from time to time for the purpose of processing User's application. By making this application, User shall acknowledge having read and understood a copy of The Service Provider's Privacy Policy Statement and consent to its terms.

1.4

The User shall have access to contacts and communications services via various channels. The Service Provider shall not participate in communication content and shall not be responsible for whether or not communication takes place. The Service Provider shall not participate in any agreements that are signed via The Service and shall therefore not be considered a contracting partner to those agreements. The User shall bear sole responsibility for compliance with any agreement signed by himself/herself. The Service Provider shall not be liable for the User's failure to fulfill any obligations specified in these agreements.

User obligations

2.1

The User shall comply with applicable laws as well as the rights of third parties when using content and services within the scope of The Service. The User shall particularly be prohibited from:

•	using mechanisms, software or scripts in connection with using The Service;
•	copying via "robot/crawler" search machine technology; or
•	distributing and publicly communicating content from The Service or from other Users.

Sanctions and blocking

3.1

The Service Provider may, at its own discretion, take appropriate measures if it has good reason to assume that a User has violated legal provisions, rights of third parties or this Terms and Conditions, or be it The Service Provider has another justified interest, particularly the protection of other Users from fraudulent activities.

3.2

The Service Provider may, without prior notification, delete all content uploaded by The User, issue a cease-and-desist letter or block access to The Service if the following occurs:

•	the User fails to comply with legal provisions;
•	the User provides false contact information, particularly a fake or invalid email address;
•	the User violates their contractual obligations as specified in this Terms and Conidtions;
•	the User uploads any images, materials or information which are inappropriate, profane, defamatory, obscene, indecent, unlawful or irrelevant to The Service;
•	the User uses any images, materials or information that infringes any copyright, trademark, patent, trade secret, right of publicity, right of privacy or other proprietary right of any party;
•	the User uploads files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that damage, interfere with or disrupt services or another's computer or property;
•	the User is involved in criminal prosecution due to their business practices and is causing damage to one or more other Users.

Responsibility and limitation of liability

4.1

The Service Provider does not assume any responsibility for content, data or information provided by the Users or for content on linked external websites, and all liability in connection with any of the above shall be excluded. In particular, The Service Provider shall not guarantee that this content is applicable, fulfills a specific purpose or could be used for said purpose.

Indemnity

5.1	The User shall acknowledge and agree that The Service Provider has no authority or control over how third parties use information and shall not be responsible or liable for any loss or damage directly or indirectly suffered because of their use of information.
5.2	The User shall warrant and represent that he/she is the copyright owner of the provided images, materials or information, or that the copyright owner of such images, materials or information has granted him/her permission to use such images, materials or information.
5.3	The User shall indemnify The Service Provider against all claims asserted by other Users or other third parties against The Service Provider due to an infringement of their rights or violation of the law by content provided by The User within the scope of The Service or resulting from the User's use of The Service. The User shall also assume costs for any necessary legal defense of The Service Provider, including all court and attorney's fees. All further rights as well as damages claims of The Service Provider shall remain hereby unaffected. The User's obligations as defined above shall not apply to the extent The User is not responsible for such infringement of the law.

In case of any discrepancy between the English version and the Chinese translation, the English version shall prevail.
